Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“Creator”, “Licensor”, “you”, or “your”) and WooGlobe Ltd, operating under the brand and trade name CreatorVault(“CreatorVault”, “Company”, “we”, “us”, or “our”).

By accessing creatorvault.io, linking social media or video hosting channels (including YouTube and Meta accounts), onboarding your catalog, or utilizing our rights management, syndication, or licensing services (collectively, the “Services”), you expressly agree to be bound by these Terms and our Privacy Policy.

1. Services & Grant of Rights

CreatorVault operates a specialized digital rights management, content syndication, and video licensing infrastructure. To enable CreatorVault to protect your work and generate revenue across digital platforms:

• Appointment as Rights & Monetization Agent: You grant CreatorVault the worldwide, non-exclusive right and license to fingerprint, enroll, administer, claim, monetize, re-publish, sublicense, and syndicate your submitted video library (“Catalog”) across digital, broadcast, and social media platforms, including YouTube Content ID, Meta Rights Manager, TikTok, Snapchat, Microsoft MSN, broadcast television networks, and partner publisher networks.
• 100% Retention of Underlying Ownership: You retain full legal copyright ownership in and to all your original video content. You do not transfer your underlying copyright to CreatorVault. You grant only the operational licenses necessary for us to claim lost revenue and distribute your videos as described herein.
• Authorization to Enforce Copyright: You authorize CreatorVault, in your name and on your behalf, to issue automated copyright claims, ad revenue redirection notices, and formal digital takedown notices (including DMCA notices) against unauthorized third-party reuploaders, scrapers, and infringing entities.

2. Absolute Disclaimer of Revenue Guarantees

• Illustrative Tools & Estimates Only: Any revenue calculators, financial projections, case studies, or earnings figures displayed on creatorvault.io, in marketing materials, or communicated during onboarding are strictly hypothetical estimates based on aggregate historical platform averages. They do not constitute an offer, promise, or guarantee of actual earnings.
• Third-Party Economic Factors: Creator earnings depend entirely on third-party platform algorithms, fluctuating global advertising CPMs, viewer retention, geographic demographics, seasonality, advertiser demand, and platform monetization policies—all of which are completely outside of CreatorVault's control.
• Zero Minimum Guarantee: CreatorVault does not guarantee that any pirate reuploads will be successfully monetized, that TV networks or publishers will license any specific video, or that any minimum dollar payout will be earned.

3. Creator Warranties & Content Ownership

To safeguard the platform, media partners, and yourself, you make the following unconditional representations and warranties to CreatorVault:

• Sole Proprietary Ownership: You are the sole creator and copyright holder of the Catalog submitted, or you have secured all necessary written licenses, permissions, synchronization rights, and commercial releases from all third parties who participated in or contributed to the content.
• Music & Audio Clearance: You represent that any background audio, sound effects, or music tracks contained within your videos are either 100% original to you, properly licensed for commercial digital monetization and broadcast syndication, or fully rights-cleared. You acknowledge that uncleared commercial music may result in claim conflicts, strikes, or revenue forfeiture for which CreatorVault bears zero liability.
• No Infringement or Legal Violations: Your content does not infringe upon any copyright, trademark, trade secret, privacy, publicity, or other proprietary right of any third party, nor does it contain defamatory, obscene, unlawful, or hate speech material.
• Authority to Contract: You are at least 18 years of age (or have verified parental/guardian authorization) and have full legal capacity to enter into and perform under these Terms.

4. Indemnification — Protecting CreatorVault & WooGlobe

You agree to defend, indemnify, and hold harmlessCreatorVault, WooGlobe Ltd, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensees, distributors, and platform partners from and against any and all claims, actions, suits, demands, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and legal expenses (including reasonable attorneys' fees) arising out of or related to:

• Any breach or alleged breach of any representation, warranty, or covenant made by you in these Terms.
• Any ownership dispute, copyright infringement claim, trademark dispute, or moral rights claim brought by any third party, co-creator, musician, or agency regarding your content.
• Any false, inaccurate, or deceptive information submitted by you during channel onboarding or whitelisting.
• Your violation of any applicable federal, state, local, or international statutory law or platform guidelines.

CreatorVault reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with our defense.

5. Limitation of Liability — Maximum Protection

Monetary Cap on Liability: Under no circumstances shall the aggregate total liability of CreatorVault and WooGlobe Ltd arising out of or related to your use of the Services exceed the total net commission amount actually retained by CreatorVault from your catalog earnings during the three (3) month period immediately preceding the event giving rise to the claim.

6. Third-Party Platforms & System Disclaimers

CreatorVault interfaces directly with third-party application programming interfaces (APIs) and proprietary rights tools, including Google LLC (YouTube Content ID) and Meta Platforms, Inc. (Facebook Rights Manager). You acknowledge and agree that:

• Independent Platform Authority: Third-party platforms operate under their own independent terms of service and community guidelines. They reserve the unilateral right to accept or reject fingerprint enrollment, adjust monetized ad rates, revoke monetization privileges, or apply strikes. CreatorVault has no control over platform decisions and bears zero responsibility for platform actions.
• “As-Is” & “As-Available” Provision: The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted error-free operation.
• Algorithmic & Detection Limitations: While CreatorShield utilizes state-of-the-art automated fingerprinting, we do not warrant that 100% of unauthorized reuploads will be detected or that all claimed revenue will be successfully collected from infringing uploaders.

7. Royalty Accounting, Payout Schedules & Clawbacks

• Revenue Share Split: CreatorVault calculates earnings on a revenue-share model as specified in your onboarding schedule. We retain our agreed commission percentage from gross receipts collected from distribution and claiming, and remit the remaining net balance to you.
• Payout Schedules: Royalties are processed on a regular monthly cycle, typically net-30 or net-60 days following the receipt of official accounting reports and funds from third-party platforms and broadcasters.
• Minimum Thresholds: Disbursements are issued once accumulated creator balances meet our standard minimum payment threshold of fifty United States Dollars ($50.00 USD) or local currency equivalent. Balances below the threshold roll over to the subsequent month.
• Platform Clawbacks & Chargebacks: If a third-party platform (such as YouTube, Meta, or MSN) subsequently claws back, reverses, or withholds previously reported revenue due to invalid clicks, bot traffic, automated fraud, or third-party ownership challenges, CreatorVault reserves the right to deduct or offset such adjustments from your future payouts.
• Taxes & Withholdings: You are solely responsible for reporting and paying all applicable local, state, and federal taxes on your royalty disbursements. Where required by law, CreatorVault will withhold taxes pursuant to applicable statutory regulations and double-taxation treaties based on your submitted tax forms (e.g., W-8BEN, W-9).

8. Term and Termination

• Term: These Terms commence on the date you create an account, connect a channel, or submit content to CreatorVault, and remain in effect until terminated in accordance with this Section.
• Termination by Either Party: Either party may terminate the active rights management and syndication relationship at any time by providing thirty (30) days prior written notice to [email protected].
• Post-Termination Procedure: Upon the effective date of termination:
  1. CreatorVault will initiate removal of your video assets and digital fingerprints from YouTube Content ID and Meta Rights Manager within thirty (30) business days.
  2. Existing sublicenses previously granted to third-party media outlets, TV networks, or digital publishers prior to termination shall continue for their contracted duration.
  3. Accrued net royalties collected by CreatorVault up to and including the effective date of termination will be disbursed during the next regular payout cycle.

9. Data Privacy & GDPR Compliance

Your personal data, channel analytics, and catalog assets are processed in strict compliance with our Privacy Policy, the General Data Protection Regulation (GDPR), the UK GDPR, and the California Consumer Privacy Act (CCPA/CPRA).

CreatorVault operates as a Data Controller with respect to creator account administration and royalty management, and as an authorized Data Processor with respect to platform fingerprinting and API data exchanges. For data subject access requests or GDPR inquiries, contact [email protected].

10. Governing Law, Jurisdiction & Dispute Resolution

• Governing Law: These Terms and any dispute, claim, or controversy arising out of or related to them shall be governed by, construed, and enforced in accordance with the laws of England and Wales, without regard to conflict of law principles.
• Exclusive Jurisdiction: You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
• Waiver of Class Action: TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

11. General Provisions

• Entire Agreement: These Terms, along with the Privacy Policy and any written creator agreement signed with WooGlobe Ltd, constitute the entire agreement between the parties concerning the subject matter hereof.
• Severability: If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
• No Waiver: Failure by CreatorVault to enforce any provision or right under these Terms shall not be construed as a waiver of that or any subsequent provision or right.
• Modifications: We may revise these Terms from time to time. If a revision is material, we will provide at least thirty (30) days notice prior to any new terms taking effect. Continued use of our Services after revisions become effective constitutes your binding acceptance.
